Terms of Use

AskTheo — Terms of Use

Effective: September 2026

These Terms of Use (“Terms”) govern your access to and use of AskTheo, made available by HarrisX LLC (“HarrisX” or “We” or “we”), whether through a no-cost trial environment (“Trial”) or as a customer authorized by HarrisX to access AskTheo with your own data (“Authorized Access”). By accessing AskTheo you (“You” or “you”) agree to these Terms. Where you access AskTheo under a separate written order form, master subscription agreement, or similar document (an “Order”), that Order governs in the event of a conflict as to the subject matter it addresses. “AskTheo” refers to all services, analysis and data provided to you pursuant to these Terms. “You” or “you” refers to the person or entity agreeing to these Terms and any organization they purport to represent or agree on behalf of.

1. Access and scope

These Terms apply to both the Trial and Authorized Access. HarrisX may revoke Trial access at any time without notice. Authorized Access is additionally governed by Section 7 (Seats, licenses, and restrictions) and, where you submit your own data, by the AskTheo BYOD Addendum and the AskTheo Data Processing Addendum, each incorporated by reference.

2. Order

Services may be delivered through mutual agreement to an “Order” or “SOW” (or similar document, each referred to as an “Order”) that sets forth specific payment, subscription, renewal and other marketplace, service and delivery terms. All Orders are subject to these Terms, and these Terms are incorporated by reference into any Order.

3. Term and Termination.

These Terms shall begin on the execution date, which is the date on which both parties have agreed to them. The initial term (“Initial Term”) is one year, and the Terms shall automatically renew on the anniversary date of the Initial Term (each a “Renewal Term”) until terminated by either party, which may be done on thirty (30) days’ written notice, provided that in the event of an outstanding Order the Terms shall continue to run until the termination or expiration of such Order pursuant to the provisions of such Order.

4. Eligibility and authority

By accessing AskTheo you represent that you are at least 18 years of age. If you access AskTheo on behalf of an organization, you represent that you have authority to bind that organization, and all references to “you” include that organization. HarrisX is not responsible for unauthorized use by individuals who lack authority to bind their organization.

5. No warranty; as-is

Except as expressly stated in an applicable Order, AskTheo is provided “as-is” and “as available” without warranty of any kind, express, implied, statutory, or otherwise. HarrisX disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Outputs are illustrative and do not constitute research findings, professional advice, or guaranteed results.

6. Trial-specific terms

The following apply to Trial access only. You may not use Trial outputs as the basis for material business, financial, legal, or policy decisions, and Trial access does not constitute a commercial license. During Trial access you shall not submit confidential, proprietary, or personally identifiable information; the Trial is not a BYOD environment.

7. Seats, licenses, and restrictions

Access to AskTheo is licensed, not sold, on a per-seat, per-organization basis. The following apply to all access:

(a) Non-transferable. Seats and licenses are personal to the named user and the single licensed organization. They may not be sold, resold, sublicensed, leased, rented, assigned, shared with, or used for the benefit of any other individual, organization, affiliate, client, brand, or campaign.

(b) Per-organization scope. Each license entitles only the single licensed organization to access AskTheo. Extending access to any separate organization, affiliate, client, brand, or campaign requires separately purchased seats or licenses.

(c) Named users. A seat may be used by one identified individual. Seats may not be pooled, shared, or used concurrently. Credentials must not be shared. If we detect violations of the foregoing, such as time-sharing or seat-sharing, we will assess and you will pay an additional per-seat charge based on then-current rates.

(d) Anti-circumvention. You may not circumvent seat, license, usage, or organizational limits, including by credential sharing, seat pooling, automated access, or routing access for the benefit of an unlicensed organization or campaign.

8. Customer Data (BYOD)

Where HarrisX authorizes you to submit your own data to AskTheo (“Customer Data”), the following apply in addition to these Terms:

(a) Permission and responsibility. You may submit Customer Data for processing by AskTheo. You are solely responsible for your Customer Data and for your instructions regarding it.

(b) Data-rights warranty. You represent and warrant that you have all rights, consents, and lawful bases necessary to submit the Customer Data and to have HarrisX process it as contemplated, and that doing so will not violate any law or third-party right. (See the BYOD Addendum.)

(c) No policing. HarrisX does not monitor, screen, validate, or verify Customer Data and has no obligation to do so. You are solely responsible for its content and legality.

(d) Prohibited data. You shall not submit categories of data identified as prohibited in the BYOD Addendum attached as Exhibit A.

9. Data and privacy

Each party shall comply with all applicable state privacy laws, as well as the AskTheo Data Processing Addendum attached as Exhibit B.

10. Prohibited use

Prohibited uses include, without limitation:

(a) attempting to reverse-engineer or extract proprietary algorithms or models;

(b) automated scraping or bulk queries except as expressly permitted;

(c) submitting data belonging to a third party without authorization, or submitting prohibited data;

(d) sharing, transferring, or pooling seats, licenses, or credentials in violation of Section 7;

(e) using AskTheo or its Outputs to develop, train, or improve any product, model, or service that competes with AskTheo; or

(f) violating any applicable law or regulation;

(g) use of AskTheo in conjunction with the marketing or promotion of guns, ammunition, adult entertainment, hate speech, or any illegal product, including any product that violates the intellectual property of any third party.

11. Intellectual property

All rights in AskTheo, including its underlying technology, models, and Outputs, remain the exclusive property of HarrisX, except for the limited right to access and use AskTheo under these Terms and any applicable Order. As between the parties, you retain ownership of your Customer Data; you grant HarrisX a limited, non-exclusive license to host and process it solely to provide AskTheo to you. Any feedback you provide (“Feedback”) becomes the property of HarrisX, which may use it without restriction or remuneration.

12. Indemnification

You agree to indemnify, defend, and hold harmless HarrisX LLC and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of AskTheo; (b) your violation of these Terms; or (c) any Customer Data or other data or content you submit; except to the extent directly caused by HarrisX’s gross negligence or willful misconduct.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by law, HarrisX shall not be liable for any indirect, incidental, consequential, special, or punitive damages. For Trial access, HarrisX’s total liability for any claim shall not exceed one hundred dollars ($100). For Authorized Access, HarrisX’s total liability shall be as set forth in the applicable Order or, absent an Order, the fees paid for the AskTheo access giving rise to the claim in the prior twelve months.

14. Amendments

HarrisX may modify these Terms; updated Terms will be posted with a revised effective date, and continued use constitutes acceptance.

15. Severability and survival

If any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions continue in force. Provisions that by their nature should survive — including Sections 2-4 (to the extent applicable), 7, 8, 10, 11, 12, 13, and 15-17 — shall so survive.

16. Entire agreement

These Terms, together with any applicable Order, the BYOD Addendum, the DPA, and the Privacy Policy, constitute the entire agreement regarding AskTheo and supersede prior communications on the same subject.

17. Governing law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, and disputes shall be resolved exclusively in the state or federal courts located in New York, to whose jurisdiction you consent.

18. Acceptance. By creating an account or accessing AskTheo, you confirm that you have read, understood, and agree to be bound by these Terms, and that you have authority to do so.

AskTheo — BYOD Addendum

Effective: September 2026

This BYOD Addendum (“Addendum”) supplements the AskTheo Terms of Use (“Terms”) and applies to any customer that HarrisX LLC (“HarrisX”) authorizes to submit its own data to AskTheo (“Customer Data”). Capitalized terms not defined here have the meanings given in the Terms. In the event of a conflict regarding Customer Data, this Addendum controls over the Terms.

1. Permission to submit Customer Data

Subject to this Addendum, you may submit Customer Data to AskTheo for processing and analysis. HarrisX provides AskTheo as a tool that processes the Customer Data you choose to submit, according to your instructions and configuration.

2. Your data-rights warranty

You represent, warrant, and covenant, on a continuing basis, that:

(a) you have all rights, title, consents, permissions, and lawful bases necessary to submit the Customer Data and to authorize HarrisX to process it as contemplated by the Terms, this Addendum, and the DPA;

(b) your submission and HarrisX’s processing of the Customer Data, as instructed by you, will not infringe or misappropriate any third-party right or violate any applicable law (including privacy, data-protection, intellectual-property, and confidentiality laws); and

(c) you have provided all notices and obtained all consents required from individuals whose personal data is included in the Customer Data. (“Personal data” as used herein means any information categorized as “personal data” or “personal information” by any applicable law.)

3. Prohibited data

You shall not submit, and shall not permit your users to submit, any of the following as Customer Data:

(a) protected health information subject to HIPAA, or other regulated health data, unless covered by a separate written agreement (including a Business Associate Agreement) executed by HarrisX;

(b) payment card data subject to PCI-DSS (e.g., full card numbers);

(c) personal data of children under the age of 16 (or the higher age of majority set by applicable law);

(d) special-category or sensitive personal data under any applicable law (e.g., data revealing health, race or ethnicity, religious or political beliefs, sexual orientation, biometric or genetic data), unless expressly permitted in writing by HarrisX and supported by your lawful basis; and

(e) government-classified data or controlled unclassified information (CUI), unless covered by a separate written agreement.

4. No monitoring; your responsibility

HarrisX does not agree to monitor, screen, review, validate, or verify Customer Data, and has no obligation to do so. You are solely responsible for: (a) the Customer Data and its legality; (b) ensuring it does not include prohibited data; (c) your processing instructions and configuration; and (d) the conclusions you draw from, and the decisions you make using, AskTheo Outputs. HarrisX’s ability to act on or remove specific Customer Data is limited to the controls exposed in the product.

5. Ownership and license

As between the parties, you retain all right, title, and interest in your Customer Data. You grant HarrisX a limited, non-exclusive, worldwide license to host, process, and transmit the Customer Data solely to provide and support AskTheo for you and as permitted by the DPA. HarrisX does not sell Customer Data and does not use Customer Data to train, fine-tune, or otherwise improve its underlying models or algorithms.

6. Personal data; relationship to the DPA

Where Customer Data includes personal data, you are the controller (or, where applicable, processor on behalf of a third party) and HarrisX is your processor/service provider. The AskTheo Data Processing Addendum governs that processing and is incorporated by reference.

7. Indemnification

You shall indemnify, defend, and hold harmless HarrisX and its affiliates from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your Customer Data; (b) your breach of the warranties in Section 2; (c) submission of prohibited data; or (d) your processing instructions, except to the extent directly caused by HarrisX’s gross negligence or willful misconduct.

8. Acceptance

You warrant and represent that you have authority to enter into this Addendum and that this Addendum is accepted by an authorized signatory of your organization or, for existing authorized customers, by your continued use of AskTheo after this Addendum takes effect.

9. Term

This Addendum applies for as long as you have authorized access to the AskTheo services with respect to any Customer Data and survives, as to accrued rights and obligations (including Sections 2, 4, 5, 6, and 7), termination of that access.
